Terms of Service

Defining the professional standards and operational agreements for our partnership in digital excellence.

(1) Introduction and Definitions

Welcome to MG WebDev Ltd. This Terms of Service agreement ("Agreement") governs the relationship between MG WebDev Ltd. ("Company", "We", "Us", or "Our") and the client ("User", "You", or "Client") regarding the provision of web development and digital services.

These terms of service ("Terms") govern your access and use of (a) the MG WebDev Ltd website located at https://www.mgwebdev.eu and https://mgwebdev.eu (the "Site), and (b) all websites and online properties designed, built, managed, or hosted by MG WebDev Ltd for its customers, including related hosting, connectivity, and ancillary services (collectively, the "Services").

The site is a copyrighted work belonging to MG WebDev Ltd ("MG WebDev", "we", "us", or "our"). Certain features of the Site or Services may be subject to additional guidelines, terms, or rules posted in connection with those features. All such additional terms are incorporated by reference into these Terms.

Binding agreement
By accessing the Site or using any Services, you agree to be bound by these Terms and represent that you have the authority and capacity to do so. You must be at least 18 years of age to access the Site or use the Services. If you do not agree to these Terms, do not access or use the Site or any of its Services.

1.1. Definitions
The definitions are described below this paragraph:

"Client"

Means a customer purchasing web design, hosting, or any related Services from MG WebDev Ltd.

"User" or "you"

This refers to any visitor of the Site or any person accessing a Client website provided under the Services.

"Client Website"

Refers to any website developed, designed, or hosted by MG WebDev for a Client

"User Content"

has the meaning set in Section "Client content, User content & Backups"

1.2. Consumer protection notice
If you are a consumer within the meaning of Belgian law (a natural person acting for purpose outside your trade, business, craft or profession), certain provisions of these Terms may be limited or not apply to the extent they contradict mandatory Belgian or EU consumer protection rules (including the Code of Economic Law and EU Directives 93/13/EEC, 2011/83/EU, 2019/770 on digital content/services). In case of conflict, mandatory consumer law prevails. You retain all statutory rights (e.g., legal conformity of services, withdraw rights for distance contracts if applicable, remedies for non-conformity).

(2) Access to the Site and Services

2.1. License
Subject to these Terms, MG WebDev grants you a non-transferable, non-exclusive, revocable, limited license to access and use the Site for your personal, non-commercial use.

2.2 Restrictions
You will not (a) sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site; (b) change, create derivative works of, disassemble, reverse compile, or reverse engineer any part of the Site and its Services; (c) access the Site to build a similar or competitive work; or (d) copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Site by means except as expressly permitted. All copyrights and proprietary notices must be retained on all copies.

2.3 Changes/Availability
We may change, suspend, or cease the Site or Services at any time, with or without prior notice, and we are not liable for any change, interruption, or termination.

2.4 Support
Unless expressly agreed in writing, MG WebDev has no obligation to provide support or maintenance for the Site. Support terms for Client Websites are governed by the applicable ordr, SOW, or support plan.

Hosting & Network Providers

Websites may be hosted on MG WebDev servers and/or by third-party providers including NS1 (formerly NSONE), Cloudflare, or Byet internet Services. We may change or add providers at our discretion.

E-commerce via Snipcart

Online stores may be powered by Snipcart. Snipcart's standard transaction fees apply (as detailed on their pricing page), in addition to any card network or payment processor fees. Your use of Snipcart is subject to Snipcart's own terms and policies.

SSL Certificates

SSL/TLS certificates for Client Websites are not issues by MG WebDev. Certificates may be issued by Google Trust Services LLC, Let's Encrypt, or ZeroSSL, as applicable.

Maintenance Training

One-time post-launch training (included in the quote unless otherwise stated) to equip you to handle basic ongoing maintenance, content updates, and administration. Additional support is available under a sperate invoice/quote.

Premier Connectivity

Where specified for a plan or contract, "Premier connectivity" provides access to a faster network path intended to reduce page load times; actual performance may vary by region, ISP, device, traffic, and third-party conditions.

MG WebDev Hosted Features

Features marked as available only while hosted by MG WebDev are not portable and will cease upon cancellation or migration away from MG WebDev hosting Services.

(4) Plans, Pricing, Billing & Auto-Renewal

4.1. One-Time Design Fee & Ongoing Hosting
A one-time payment covers the design of a Client Website. Hosting has been made available as an optional service, quoted individually per project/client site. Hosting fees are billed accordingly to the specific quote provided and agreed upon; the hosting will be provided on a yearly basis. If you wish to continue using the hosting services after the term agreed upon has ended, you can contact the support team. We will send you an notice 30-days before the services are ending.
This will be quoted in the management portal (a customer-access only portal).

4.2. Price changes.
Prices in accepted quotes are fixed for the projects scope unless variations are agreed in writing. For any optional recurring services (if separately quoted), price changes require at least 30 days' prior notice by means of email or a notification in the portal. Continued use after notice constitutes acceptance, you may cancel before the change takes effect without penalty.

4.3. Discount Eligibility
Certain discounts (if offered) are available only to qualifying non-profit organizations and verified school/educational projects. Non-profits must provide valid documentation satisfactory to MG WebDev. For school projects (e.g., student assignments, theses, or educational initiatives), eligibility requires verification of student status via a valid student ID, school enrollment confirmation, or equivalent official documentation. Discounts are at MG WebDev's sole discretion.

4.4. Measurement units
For billing and plan limits, MG WebDev uses decimal units: 1GB = 100 MB; 1MB = 1000KB.

4.5. Included resources
Unless otherwise stated, all contracts include a base storage and bandwidth; a higher-tier plan (or upgraded plan) may include all in the basic plan plus an additional storage and additional bandwidth.

4.6. Taxes & Fees
All prices are exclusive of applicable VAT/sales taxes, payment processing fees, and third-party platform fees (e.g. payment gateway fees...), which you must pay where applicable.

4.7. Billing & Payment
You authorize MG WebDev (and its payment processors) to charge your payment method for the fees specified in your invoice and/or contract agreement.

4.8. Auto-Renewal & Cancellation
Payments are due within 14-days of being issued. No automatic renewal takes place, unless explicitly agreed upon. Cancellation of optional recurring services takes effect at period end; no pro-rata refunds except as required by law.

4.9. Transferability
Depending on the situation (contact support), your site may be transferable to another hosting provider; MG WebDev-hosted features (Section 3) are not transferable.

(5) Acceptable Use Policy (AUP)

5.1.
You agree not to use the Site or Services to upload, transmit, display, or distribute User Content that: (i) infringes any intellectual property or proprietary right; (ii) is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of privacy, vulgar, defamatory, false, misleading, libelous, pornographic, obscene, or partially offensive; (iii) promotes racism, bigotry, hatred, or physical harm; (iv) is harmful to minors; or (v) violates any law regulation, or third-party obligations.

5.2.
Prohibited actions include: (i) distributing malware or code intended to damage systems or data; (ii) sending spam, junk mail, chain letters, pyramid schemes, or duplicative/unsolicited messages; (iii) harvesting data without consent; (iv) interfering with networks or violating their policies; (v) attempting unauthorized access; (vi) harassing users or disrupting their enjoyment; (vii) using bots/agents/scripts to create multiple accounts or automated queries; and (viii) using the Services for illegal activities (including hacking, fraud, or right violations).

5.3. We may review content and take action at our sole discretion, including removal, suspension, or termination and notifying law enforcement where appropriate.

(6) Intellectual Property; Feedback

6.1. Excluding any User Content (Section 7), all intellectual property rights in the Site and its contents are owned by MG WebDev or its suppliers. These terms do not grant any rights except the limited access license in Section 2).

6.2. Feedback. If you voluntarily submit feedback/suggestions, you grant us a non-exclusive, royalty-free license to use it for improving our services. We will not claim ownership of your ideas.

(7) Client Content, User Content & Backups

7.1. "user content" means any information or content a user submits to the Site or a Client Website. You are solely responsible for your User Content and its legality, reliability, and appropriateness.

7.2. License to MG WebDev. You grant MG WebDev an irrevocable, non-exclusive, worldwide, royalty-free, fully-paid, sublicensable license to host, reproduce, distribute, publicly display, publicly reform, and create derivative works of User Content solely to operate, provide, and improve the Services. You waive moral rights to the extent permitted by law.

7.3. Backups. We strongly recommend you maintain independent backups. We apply reasonable measured to prevent data loss and offer export assistance upon reasonable request. In cases of loss due to our fault, we will assist in recovery to the extent technically feasible.
In certain cases we will request a back up of your site with the Internet Archive, located at https://archive.org.

7.4. No Endorsement. You may not state or imply that your User Content is provided, sponsored, or endorsed by MG WebDev.

(8) Third-Party Links, Ads & Services

8.1. The Site and Client Websites may link to or integrate third-party sites and services (including hosting/CDN, SSL issuers, Snipcart, payment processors). We do not control and are not responsible for third-party sites/services. Use them at your own risk and review their terms and privacy policies.

8.2. MG WebDev does not endorse or warrant third-party offerings and is not liable for loss or damage arising from them.

(9) Cookies

9.1. Like many websites, MG WebDev uses cookies and similar technologies to store information (e.g., preferences, visited pages) to optimize user experience. For details, see our Cookie Policy and Privacy Policy.

(10) Privacy & Data Protection

10.1. Your use of the Site and Services is subject to our Privacy Policy.

10.2. GDPR. Where MG WebDev processes personal data on behalf od a Client, MG WebDev acts as a processor and the Client acts as a controller under the EU General Data Protection Regulation (GDPR). A separate Data Processing Addendum (DPA) may apply where required.

10.3. You agree to comply with all applicable data protection and privacy laws.

10.4. For more details on how we process personal data (including as processor on your behalf where applicable), our data protection measures, and your rights under GDPR, please refer to our separate Privacy Policy (located at https://www.mgwebdev.eu/privacy-policy) and any applicable Data Processing Addendum provided for the project.

(11) Service Changes; Suspension

11.1. We may modify, suspend, or discontinue any part of the Services at any time.

11.2. We may suspend access to the Site or Services for maintenance, security, legal, or operational reasons, or if we suspect a breach of these Terms.

(12) Disclaimers

12.1. Services are provided with reasonable skill and care in line with industry standards. We do not warrant uninterrupted, error-free, or completely secure operation (due to internet/third-party factors), but we apply commercially reasonable measures for security and availability.

12.2. If applicable law requires any warranties, such warranties are limited to 90 days from first use, unless a longer period is required by law. Any implied warranties under Belgian/EU law (e.g. conformity of digital services under Directive 2019/770) are not excluded but limited to the extent permitted.

12.4. Some jurisdictions do not allow certain warranty exclusions; some limitations may not apply to you.

(13) Limitation of Liability

13.1. To the extend permitted by law, MG WebDev is not liable for indirect, consequential, or special damages (including lost profits/data) unless caused by gross negligence or willful misconduct. Total liability for direct damages is limited to the fees paid under the relevant quote/project in the 12 months preceding the claim, with a minimum of €400 (four hundred euros) where required for fairness under consumer law. This cap does not apply to liability for death/personal injury, fraud, or mandatory statutory liability.

13.3. Our suppliers have no liability arising from or relating to these Terms.

13.4. Some jurisdictions do not allow limitations for incidental or consequential damages; some limitations may not apply to you.

(14) Indemnification

You agree to indemnify, defend, and hold harmless MG WebDev and its officers, employees, and agents from any claim, demand, loss, liability, and expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these terms; (c) your violation of laws or third-party rights; or (d) your User Content.

(15) Term; Termination

15.1. These Terms remain in effect while you use the Site or any of its Services.

15.2. We may suspend or terminate our rights at any time for any breach of these Terms or if required by law.

15.3. Upon termination, your account and access terminate immediately, and associated User Content may be deleted. Sections intended to survive (including 6-14, 16-20) will continue after termination.

(16) Copyright Policy (Notice & Takedown)

16.1. Respect for IP. We respect intellectual property rights and may remove material that allegedly infringes copyrights or other rights.

16.2. DMCA (US). If you believe content accessible via our Services infringes with your copyright, send a written notice to our Privacy department, including: (i) your signature; (ii) identification of the copyrighted work(s); (iii) identification of the infringing material and its location; (iv) contact information; (v) a good-faith statement that the use is not authorized; and (vi) a statement under penalty of perjury that the information is accurate and you are the owner or authorized to act. Misrepresentations may result in liability under 17 U.S.C. § 512(f).

16.3. EU/EEA Notice. Rights holders in the EU/EEA may submit notice-and-takedown requests that include sufficient details to locate the material, evidence of rights, and statements of good faith.

16.5. We may terminate repeated infringers.

(17) Dispute Resolution

17.1. Governing Law. These Terms and any dispute arising out of or relating to them shall be governed by the laws of Belgium, without regard to conflict of laws principles.

17.2. Jurisdiction. The parties submit to the exclusive jurisdiction of the courts located in Brussels, Belgium. Consumers may also bring claims in the courts of their habitual residence where mandatory consumer law so provides.

(18) Changes to these Terms

We may update these Terms from time to time. If we make material changes, we may notify you by email (to the address to which your account is linked) and/or by posting a notice on the Site. Changes take effect 30 days after notice is provided (or immediately for new users). Your continued use after the effective date constitutes the acceptance of the revised terms.
For consumers, material changes detrimental to your rights require your express consent or right to terminate without penalty.

(19) Electronic Communication(s)

You consent to receive communications from MG WebDev electronically, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirements for written communications.

(20) Entire Agreement; Assignment; Severability; Waiver

20.1. These Terms (including incorporated policies) constitute the entire agreement between you and MG WebDev regarding the Site and Services

20.2. Our failure to enforce any right is not a waiver.

20.3. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in full force.

20.4. You may not assign these Terms without prior written consent. MG WebDev may assign these Terms without restrictions
